Annual Membership Meeting 

*** Reconvened January 2, 2020 at 7 P.M. 

 

The meeting was called to order at 5:05 P.M.  Board members in attendance were Nick Miokovic, Matt Inman, Tony Swiontek, Cory Hill, Jen Webster and Janice Lancaster.  There were approximately 26 attendees throughout the meeting.  

  • Nominations from the floor:    There were no nominations from the floor.

The meeting was recessed at 5:07 P.M. until the required quorum of 78 could be established. 

Voting was held from 5:07 P.M until 7:05 P.M.   A quorum of 78 was not established at 7:05 P.M; which included the minimum quorum of 78.  The total attendees of 26 plus the total proxies was 41 for a total of 67 which did not meet the required quorum of 78.  An additional 11 proxies or attendees was needed.  The Annual Meeting was placed in recess until the total quorum could be established.   

 The annual meeting will reconvene at a future date no more than 90 days from October 19, 2019.  A formal notice will be sent to all 267 homeowners via United States Postal Service at least 14 days in advance of the date that the meeting will be reconvened.   

 Due to the quorum not being met and the slate of officers being 7 individuals with NO nominations from the floor, the slate of officers was declared accepted as presented by default.  The 2020 Board of Directors Organizational meeting was held by the directors in attendance.  See Organization Meeting Minutes for the results. 

  • Notice of Meeting: 

 The proof of Notice of Meeting was presented by Janice Lancaster, Secretary / Treasurer.  The notice of the Annual Meeting was mailed to all members on October 2, 2019.


January 2, 2019 

  • The Annual Meeting from October 19, 2019 was reconvened on January 2, 2020 at 7:00 P.M. after a quorum of 78 was met with a total of 80 for the meeting.  The quorum was based on current eligible voting homeowners.   

The meeting was called to order at 7:05 P.M. on Thursday, January 2, 2020.  Board members in attendance were Nick Miokovic, Jen Webster, Tony Swiontek, Corey Hill, and Janice Lancaster.  The total attendees including the proxies was 79.  Matt Inman was unable to attend the reconvened Annual Meeting on January 2, 2020. 

  • Notice of Meeting 

The proof of notice of meeting was presented by Janice Lancaster.  The notice of the annual meeting was mailed to the member ship on October 2, 2019; the notice to reconvene the meeting was mailed to the member ship on December 4, 2019. 

  • Certification of Quorum and Proxies:  

The quorum for the 2019 Annual Meeting of the Members is based on a total of 261 eligible voting members.  There were 6 nonqualified members.  Quorum for this meeting is 78 members; there were 26 attending eligible members and 54 proxies for a total quorum of 80 which met the minimum quorum of 78.   

  •  Minutes of October 17, 2018 Meeting:  

A motion was made by Jen Webster to accept the minutes of the October 17, 2018 Annual Meeting as presented for approval; seconded by Corey Hill79 for; none opposed; minutes approved.    

  • 2020 Budget Approval 

A motion was made by Janice Lancaster to approve the Budget for 2020 with reserves as presented; seconded by Jen Webster79 for; none opposed; 2020 Budget is adopted.
